MİA Teknoloji Completes Strategic Merger with Lider Sistem Following Regulatory Approval

MİA Teknoloji has received approval from Türkiye’s Capital Markets Board (SPK) to complete its merger with Lider Sistem Teknolojileri A.Ş., creating a larger technology group focused on defense technologies, critical infrastructure, artificial intelligence, and international expansion.

Under the merger, Lider Sistem Teknolojileri will transfer all of its assets and liabilities into MİA Teknoloji and continue its operations under the combined corporate structure.

Capital Increase Supports the Merger

According to the company’s disclosure on Türkiye’s Public Disclosure Platform (KAP), MİA Teknoloji increased its share capital by approximately TRY 492.5 million, raising total capital to approximately TRY 986.5 million.

Approximately 492.5 million new MİA Teknoloji shares were issued to Lider Sistem shareholders. Based on the independent valuation report, shareholders received TRY 2.9316 in nominal MİA Teknoloji shares for every TRY 1 nominal share held in Lider Sistem.

A Larger Engineering and Technology Group

Following the merger, the combined company is expected to have approximately TRY 11 billion in total assets and around TRY 8.2 billion in shareholders’ equity.

The enlarged organization is expected to rank among the top three publicly listed technology companies in Türkiye by equity and among the top ten by total assets within the information technology sector.

A Strategic Partnership Rather Than an Acquisition

The companies described the transaction as a strategic combination built on a shared vision rather than a traditional acquisition. Lider Sistem shareholders chose to become shareholders of the merged entity instead of pursuing an independent public offering.

The integration combines MİA Teknoloji’s expertise in software development, systems integration, project management, and international engineering with Lider Sistem’s capabilities in critical facility management, AI-powered security systems, biometric identification, and field-proven security applications.

“Establishing Lider Sistem 13 years ago and now becoming a founding partner of an organization of this scale is a source of great pride. Our engineering expertise will continue creating value as part of a much larger organization,” said Burak Görmez, Chairman of Lider Sistem.

Strengthening Defense and Critical Infrastructure Technologies

MİA Teknoloji Chairman Gökhan Beltekin described the merger as a strategic milestone for Türkiye’s defense and security technology ecosystem.

“This is not simply the organizational merger of two companies. It is a concrete demonstration of our commitment to bringing together Türkiye’s defense technologies, critical public projects, and advanced engineering capabilities under a single vision. By consolidating our R&D strength, engineering expertise, and field experience, we have established a solid foundation for a globally competitive Turkish technology brand.”

The merged organization will integrate engineering teams specializing in artificial intelligence, cybersecurity, biometric authentication, and critical infrastructure to deliver comprehensive end-to-end technology solutions.

Three Strategic Priorities

The combined company identified three primary areas of strategic focus for the coming years.

  • National Security Technologies: Development of integrated monitoring systems for defense facilities, public infrastructure, transportation networks, and energy assets by combining video analytics, sensor integration, incident management, and AI-powered decision support.
  • System Orchestration: Expansion of centralized management platforms capable of integrating multiple sensors, software platforms, and security technologies into scalable and cyber-secure operational environments.
  • International Growth: Increasing exports through NATO projects, international partnerships, and technology-driven contracts while expanding overseas revenue.

Rail Infrastructure Becomes a New Growth Area

The company also identified railway infrastructure and logistics corridors as an emerging strategic opportunity. As new trade routes linking Europe, China, the Gulf, and Central Asia continue to develop, MİA Teknoloji plans to expand its expertise in critical infrastructure security, intelligent monitoring systems, and integrated decision-support technologies into rail transportation projects.

The company said these initiatives are intended to strengthen its presence in international infrastructure projects while supporting long-term export growth.
